1. About Us Austrā Systems is a performance marketing agency operated by Yuvraj Kalia, based in Adelaide, South Australia. By accessing this website or engaging our services, you agree to the following terms and conditions in full.
2. Services Austrā Systems provides performance marketing, funnel architecture, marketing automation, revenue analytics, client acquisition systems and brand positioning services. The exact scope of services for each client is defined in a separate proposal or service agreement issued and agreed upon prior to engagement commencing.
3. Payments All services are invoiced on a monthly retainer basis unless otherwise agreed in writing. Invoices are due within 7 days of issue. Late payments may result in work being paused until the outstanding balance is cleared. All prices are quoted in Australian Dollars (AUD) unless otherwise stated and are exclusive of GST where applicable. GST will be added to invoices where required under Australian tax law.
4. Cancellation Clients on a monthly retainer may cancel with 30 days written notice sent to team@austrasystems.com. Any work completed during the notice period will be charged at the agreed monthly rate. Austrā Systems reserves the right to terminate an engagement immediately if a client acts in breach of these terms or behaves in a way that is unlawful or harmful.
5. Intellectual Property All strategies, systems, copy, creative assets and reports produced by Austrā Systems remain the intellectual property of Austrā Systems until full payment has been received. Upon receipt of full payment, ownership of agreed deliverables transfers to the client. Austrā Systems retains the right to reference completed work in its portfolio and marketing materials unless otherwise agreed in writing prior to engagement.
6. Confidentiality Both parties agree to keep all shared business information, strategies, data and communications confidential during and after the engagement. Austrā Systems will never share your business information with third parties without your explicit written consent, except where required by law.
7. Results & Disclaimers Austrā Systems is committed to delivering measurable outcomes for every client. However, we cannot guarantee specific revenue figures, lead volumes or return on ad spend. Marketing performance is influenced by factors outside our direct control including ad platform algorithm changes, market conditions, seasonality and client-side variables such as offer quality and sales process. Any figures referenced on our website represent averages across active clients and are not a guarantee of individual results.
8. Client Responsibilities Clients are responsible for providing accurate and complete business information, timely feedback on deliverables, and access to all necessary platforms, accounts and tools required to perform the agreed services. Delays, incomplete information or lack of access caused by the client may impact delivery timelines and overall results, and Austrā Systems will not be held responsible for these outcomes.
9. Limitation of Liability To the maximum extent permitted by Australian Consumer Law, Austrā Systems will not be held liable for any indirect, incidental, special or consequential loss or damage arising from the use of our services or website. Our total liability in any circumstance will not exceed the total fees paid by the client in the three months immediately prior to the claim arising.
10. Australian Consumer Law Nothing in these terms excludes, restricts or modifies any rights or remedies you may have under the Australian Consumer Law as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), which cannot lawfully be excluded.
11. Governing Law These terms and conditions are governed by the laws of South Australia, Australia. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the courts of South Australia.
12. Changes to These Terms Austrā Systems reserves the right to update or amend these terms at any time. Any changes will be posted on this page with an updated date. Continued use of our services or website following any changes constitutes your acceptance of the updated terms.
